Kinelo Terms of Service

These Terms of Service (the "Terms") are an agreement between Uni Industries Inc. ("Kinelo," "we," "us," or "our") and you. They govern your use of kinelo.com and the Kinelo platform and related software, including any desktop or mobile applications we may offer (together, the "Services").
By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you or your organization has a separate written agreement with Kinelo covering the Services, that agreement controls if it conflicts with these Terms.
1. The Services
Kinelo provides software that helps organizations coordinate work between people and AI systems. The Services are intended for business use, not personal, family, or household use, and you must be at least 18 years old to use them. The Services are under active development: we may add, change, suspend, or discontinue features or the Services at any time. Features identified as beta, preview, or early access are provided as is and may be modified or withdrawn at any time.
2. Accounts
You will provide accurate account information, keep credentials confidential, and promptly notify us of any unauthorized use. You are responsible for activity that occurs under the accounts in your workspace.
3. Customer Data
"Customer Data" means the data, content, and metadata that you submit to the Services or authorize the Services to access, including from third-party systems you connect. You own your Customer Data. You grant Kinelo the right to host, process, transmit, display, and otherwise use Customer Data as needed to provide, secure, support, and improve the Services, and as otherwise permitted by these Terms, our agreement with you, or your instructions.
You are responsible for Customer Data and for your decisions about what to connect to the Services. You represent that you have the rights, permissions, and consents needed to provide Customer Data to Kinelo and to authorize the processing described here, including any notices or consents required from your personnel.
We do not use Customer Data to train generalized AI models without your explicit permission.
4. Acceptable use
You will not, and will not permit anyone to:
- Use the Services in violation of law or in a way that infringes or violates anyone's rights
- Upload malicious code, or probe, disrupt, or attempt to gain unauthorized access to the Services or related systems
- Reverse engineer, decompile, or attempt to extract the source code of the Services, except where this restriction is prohibited by law
- Resell, sublicense, or make the Services available to third parties, other than to your own personnel and contractors for your internal business use
- Use the Services or their output to develop a competing product or to train competing AI models
- Circumvent usage limits or access controls
We may suspend access to the Services as needed to address a security risk, comply with law, or respond to a violation of these Terms.
5. Third-party services
The Services can connect to third-party products and accounts that you choose to link. Your use of those products is governed by their own terms, and you authorize Kinelo to access them on your behalf as you configure. We are not responsible for third-party products.
6. AI features
The Services use artificial intelligence to generate content, summaries, and suggestions, and can take actions in connected systems based on your configuration and instructions. AI output can be inaccurate or incomplete. You are responsible for reviewing output before relying on it and for the actions the Services take on your behalf, and you should not use the Services as the sole basis for consequential decisions.
7. Fees
If your use of the Services is subject to fees, the fees will be set out in an order form or other written agreement between you and Kinelo, are exclusive of taxes, and are non-refundable except as expressly agreed.
8. Intellectual property and feedback
Kinelo and its licensors own the Services and all related intellectual property. These Terms do not grant you any rights other than the right to use the Services as described. If you provide feedback or suggestions, we may use them without restriction or obligation to you.
9. Confidentiality
Each party may receive non-public information from the other that is identified as confidential or that reasonably should be understood as confidential. Each party will use the other's confidential information only in connection with the Services, protect it with reasonable care, and not disclose it except to personnel and advisors who need it and are bound by similar obligations, or as required by law.
10. Termination
You may stop using the Services at any time, and either party may terminate these Terms at any time by notice to the other. We may suspend or terminate your access if you violate these Terms, if we discontinue the Services, or as needed to comply with law. For a reasonable period after termination, we will make Customer Data available for export on request, and we will then delete it in the ordinary course of business, except where retention is required by law. Sections that by their nature should survive termination will survive.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINELO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) KINELO'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID KINELO FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS ($100).
13. Indemnification
You will defend Kinelo against any third-party claim arising from your Customer Data, your use of the Services in violation of these Terms, or your violation of law, and you will indemnify Kinelo for resulting liabilities, damages, and reasonable costs.
14. Governing law and disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws rules. The state and federal courts located in Salt Lake County, Utah have exclusive jurisdiction over any dispute arising out of these Terms or the Services, and each party consents to venue there.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice, such as by email or a notice in the Services. If you continue to use the Services after changes take effect, you accept the updated Terms.
16. General
These Terms, together with any separate written agreement between you and Kinelo, are the entire agreement regarding the Services. If any provision is found unenforceable, the rest remains in effect, and a failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. You will comply with applicable export control and sanctions laws. Notices to Kinelo should be sent to legal@kinelo.com; we may provide notices to you by email or through the Services.
